Terms and Conditions
1. Agreement to terms
These Terms and Conditions (“Terms”) govern your access to and use of Neurotec websites, applications, and related services (“Services”). By creating an account, clicking “Accept Terms and Conditions,” or using the Services, you agree to these Terms.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. The Services
Neurotec provides tools to organize study material and generate AI-assisted outputs such as summaries, practice questions, and recall aids. Features may change as we improve the product.
We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or model changes may affect availability or output quality.
3. Accounts and security
3.1 Eligibility
You must be at least 18 years of age to use the Services independently. Individuals aged between 13 and 17 years may use the Services only with the consent and supervision of a parent or legal guardian.
By registering for or using the Services, you represent and warrant that:
- (a) you are at least 18 years of age; or
- (b) you are between 13 and 17 years of age and have obtained valid consent from a parent or legal guardian who agrees to be bound by these Terms.
If you are a parent or guardian permitting a minor to use the Services, you agree to:
- (i) supervise the minor's use of the Services;
- (ii) ensure the minor complies with these Terms; and
- (iii) accept full responsibility for all activities conducted under the minor's account.
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use using the contact options on our Contact page.
4. Acceptable use
You agree not to:
- Violate applicable law or infringe others’ rights;
- Upload malware, attempt unauthorized access, or disrupt the Services;
- Scrape, resell, or reverse engineer the Services except as permitted by law;
- Use the Services to generate unlawful, harassing, or harmful content, or to cheat on assessments where prohibited by your institution.
- Use the Services if you are under 13 years of age, or if you are between 13 and 17 years of age without parental or guardian consent;
Security and Data Handling Responsibilities
Role-Based Access
Access to our internal systems and administrative functions is limited on a need-to-know basis using role-based access controls and related technical and organizational measures. You are responsible for maintaining the confidentiality of your account credentials and for promptly notifying us of suspected unauthorized access using the contact options on our Contact page.
Input Responsibility & Sanitization
You must not submit unlawful content or categories of sensitive personal information you are not authorized or willing to share under these Terms and our Privacy Policy. You acknowledge that inputs may be processed through automated sanitization and redaction layers before downstream processing, including transmission to third-party AI providers as described in these Terms, and that such measures have inherent limitations as described in our Privacy Policy.
Data Retention Awareness
You acknowledge that certain data may be retained for a defined period for security, legal, regulatory, and operational purposes before deletion or anonymization, consistent with our Privacy Policy and applicable law.
5. Your content and our license
You retain ownership of material you submit. To operate the Services, you grant Neurotec a non-exclusive license to host, process, and display your content as needed to provide features you request, as further described in any order form or data processing agreement between you and Neurotec.
6. AI outputs
Outputs may be inaccurate, incomplete, or outdated. You are responsible for verifying information before relying on it for grades, exams, or professional decisions. Neurotec is a study aid, not a substitute for instructors, textbooks, or licensed professionals.
AI features rely on third-party model providers as described in Section 7 below.
7. Third-party AI providers; cooperation with OpenAI; prompts and responses
Neurotec delivers certain features in cooperation with independent artificial intelligence providers. In particular, we use services provided by OpenAI, LLC and/or its affiliates (“OpenAI”) to process natural-language inputs and to generate model outputs shown in the Services.
When you use chat, study, or related features, your prompts, inputs, and the text of model-generated responses may be transmitted to and processed on OpenAI’s systems as part of providing the Services. That data sharing is inherent to how the product operates. OpenAI’s processing is also governed by OpenAI’s applicable terms, policies, and technical measures, in addition to these Terms and our Privacy Policy.
You acknowledge that without transmission of prompts and receipt of model outputs through providers such as OpenAI, the AI-assisted portions of the Services cannot function.
8. Our intellectual property
The Services, branding, and software are owned by Neurotec or its licensors. Except for the limited rights granted in these Terms, no rights are transferred to you.
8.1 Your warranties
- if you are between 13 and 17 years of age, you have obtained valid parental or guardian consent to use the Services;
9. Fees and trials
Paid plans, taxes, renewals, and refunds are described on our Pricing page and in checkout or order confirmations when billing is enabled. Failure to pay may result in suspension of paid features.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, risk to the platform, or legal requirements. Provisions that should survive termination (e.g., disclaimers, liability limits) will remain in effect.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” SUBJECT TO NON-EXCLUDABLE RIGHTS UNDER THE Australian Consumer Law (including the consumer guarantees). Except as required by the Australian Consumer Law or other non-excludable legislation, and to the maximum extent permitted by law, we disclaim warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, only where such disclaimer is permitted.
12. Limitation of liability
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or other applicable law that cannot lawfully be excluded, restricted, or modified (including in respect of death or personal injury caused by negligence, fraud, or other non-excludable statutory rights).
12.1 Consumers
If you acquire the Services wholly or predominantly for personal, domestic, or household use, your rights and remedies are as provided under the Australian Consumer Law and other applicable law. Our liability for breach of a non-excludable consumer guarantee is limited, at our election where the law permits, to resupplying the Services or paying the cost of resupply, or to refunding fees paid for the relevant supply. No fixed currency cap applies to such non-excludable rights beyond what the Australian Consumer Law and other applicable law allow.
12.2 Business users and other supplies
Where the Australian Consumer Law does not apply (for example, where you acquire the Services wholly or predominantly for business purposes, or another statutory exception applies), and to the maximum extent permitted by law, Neurotec and its affiliates will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, or goodwill. Subject to this section 12 and non-excludable rights, our aggregate liability for claims arising out of the Services is limited to the total amounts you paid us in the twelve (12) months before the claim, or, if greater is required by applicable law, the minimum liability imposed by law. A different limit may apply if expressly stated in a signed agreement with you.
13. Indemnity
To the maximum extent permitted by law, you will defend and indemnify Neurotec against third-party claims arising from your content, your misuse of the Services, or your violation of these Terms, subject to applicable law and procedure. This indemnity does not apply to the extent a claim arises primarily from Neurotec's fraud, unlawful conduct, or breach of these Terms or applicable law, and does not require you to indemnify Neurotec against liability that applicable law does not permit to be indemnified (including certain claims involving Neurotec's own negligence, to the extent such limitations apply).
14. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia, excluding conflict-of-law rules that would apply the laws of another jurisdiction. Subject to mandatory provisions of the Australian Consumer Law and other non-excludable law, you irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia for disputes arising out of or relating to these Terms or the Services. A different governing law or forum may apply only if expressly stated in a signed agreement with you.
15. Changes
We may modify these Terms. We will post the updated Terms and revise the “Last updated” date. Continued use after changes become effective may require renewed acceptance where we notify you, except where applicable law requires a different process.
16. Personal information in natural language; no guarantee of complete protection
Neurotec is an AI-centric platform: you type free-form text that we and subprocessors (including OpenAI) process. While we use technical and organizational measures intended to reduce unnecessary collection and to secure data in transit and at rest, we do not warrant, represent, or guarantee that all personal, sensitive, confidential, or identifiable information you include in prompts will be detected, filtered, redacted, or prevented from being transmitted to or processed by third-party AI systems, or that such information will never appear in logs or outputs in unintended ways. Model behavior can be non-deterministic. To the maximum extent permitted by law, you are responsible for not submitting information you are not authorized or willing to share under these Terms and our Privacy Policy. Nothing in this section limits non-excludable consumer guarantees or other rights under the Australian Consumer Law.
To the maximum extent permitted by applicable law, Neurotec disclaims liability for claims arising from incomplete filtering, model output, or processing of user-provided content by Neurotec or third parties, except where such a limitation is prohibited by the Australian Consumer Law or other non-excludable statutory rights.
